We compared six 409A valuation providers for US startups on published pricing, turnaround time, audit support, cap table bundling and the company stage each one suits.

By Kurums EditorialPricing checked 12 October 2026Updated 13 October 2026How we make money
TL;DR
  • Pre-revenue startup watching cash: Eqvista — 409A bundle with a premium cap table listed from 990 dollars per year for pre-revenue, pre-funding companies.
  • Startup wanting a fast draft: Cake Equity — Cake says it delivers a draft 409A in three business days, and a 409A add-on is listed at 1,500 dollars on any plan.
  • US or Canadian startup on a budget: Mantle — Growth plan at 3,000 dollars per year includes an annual 409A valuation.
  • VC-backed company already on Carta: Carta — Grow and Scale plans include 409A valuations and 409A audit support.
  • Complex cap table needing a dedicated firm: Redwood Valuation — Independent valuation firm with drafts typically in 3 to 4 weeks and expedited options of about one week.

A 409A valuation is an independent appraisal of the fair market value of a private company's common stock. US startups need one before granting stock options, because options priced below fair market value can trigger tax penalties for employees under Section 409A of the Internal Revenue Code. Most companies get a valuation at least once every 12 months and again after a material event, such as a priced funding round. Buyers are founders, finance leads and fractional CFOs at startups from pre-seed through late stage. Providers range from cap table platforms that bundle the valuation with equity software to independent valuation firms that sell it as a standalone report.

We compared each provider on six fields: published pricing, free plan or trial, turnaround time, audit and defense support, cap table bundling, and the main limitation we found. Providers are listed in buyer order, starting with those that publish prices and ending with quote-led firms suited to more complex capital structures. The order is not a quality ranking. Prices and terms were checked on official pricing, product and help pages on 12 October 2026. Where a provider does not publish a number, we say so instead of estimating. This article is general information, not tax, legal or financial advice.

Pricing checked 12 October 2026 on each vendor's official pricing or product pages. Prices are list prices in USD unless stated; "Quote-based" means the vendor does not publish a price. Order follows buyer fit and pricing transparency, not a quality score. Confirm billing basis, minimums and taxes with the vendor before you buy. Methodology is described below.

The 6 options in detail

1

Eqvista

Best for pre-revenue startups on tight budgets

Best for: Early-stage founders who want a published, stage-based 409A price bundled with cap table software.

AttributeEqvista
Published pricingBundle with Premium Cap Table: Pre-revenue 990 dollars/yr, F&F/Angel 1,290, Seed 1,990, Series A 2,590, Series B+ custom
Free plan or trialFreemium cap table free under 20 stakeholders; no free 409A
Stated turnaroundStandard delivery 5 to 10 working days per comparison table; expedited from 490 dollars in as little as 1 to 5 business days
Audit and defense supportStates lifetime audit support for every valuation; NACVA-certified team with CFA and CVA analysts
Cap table bundlingBundle includes Premium Cap Table and unlimited 409A updates and renewals within the subscription
Main limitationFinal price can vary with revenue, stakeholder count and capital structure, so confirm the tier in a quote
  • Publishes stage-based 409A prices, which makes early budgeting easier.
  • Add-ons are priced openly, including expedited processing from 490 dollars and ASC 718 from 500 dollars.
  • Tier assignment depends on funding round and other factors, so a seed company with revenue may be quoted above the listed tier.

Our take: Eqvista sells its 409A as an annual bundle with its Premium Cap Table, priced by stage: 990 dollars per year for pre-revenue, pre-funding companies, rising to 2,590 dollars at Series A, with Series B and later quoted. The bundle includes unlimited 409A updates and renewals during the subscription, which matters if you raise a round mid-year and need a refresh. Standard delivery is listed at 5 to 10 working days, and expedited processing starts at 490 dollars. Eqvista states that its team is NACVA-certified, that reports follow AICPA guidance, and that it provides lifetime audit support. In practice, you upload financial statements, the cap table, incorporation documents and funding history, and analysts build the report. In a call, confirm which tier your company falls into, what triggers a custom price, and how audit support works if your auditor questions the discount for lack of marketability. Compared with Carta, Eqvista is cheaper to start; compared with Redwood, it is more standardized.

Cake Equity

Best for startups needing a quick draft

Best for: Founders who want a fast 409A draft and a one-on-one review with a valuator, bundled with equity management.

AttributeCake Equity
Published pricing409A add-on 1,500 dollars on any plan; Team 2,750 dollars/yr (annual only) includes two 409As per year; Pro custom
Free plan or trialFree plan for up to 5 stakeholders with cap table, options and SAFEs; no free 409A
Stated turnaroundDraft valuation in three business days, described as standard rather than expedited
Audit and defense supportAppraisers hold CFA, CVA and CPA designations per Cake; reports described as audit-ready and GAAP-compliant
Cap table bundlingReports stored alongside the cap table and option grants in the same platform
Main limitationCake does not name the appraisal team or describe formal audit defense terms on the pages we checked
  • Three-business-day draft turnaround is stated as standard.
  • Each client gets a one-on-one consultation with a dedicated valuator to review the result.
  • Audit support is described only in general terms, so ask what happens if an auditor or the IRS challenges the report.

Our take: Cake Equity started in Australia and now serves US startups with equity management and 409A valuations. You can add a 409A to any plan for 1,500 dollars, or choose the Team plan at 2,750 dollars per year, billed annually, which includes two valuations a year and 40 stakeholders. Cake says drafts arrive in three business days as standard and that each client gets a one-on-one session with a dedicated valuator to review the inputs and the effect on option pricing. Its safe harbor guide says the appraisers hold CFA, CVA and CPA designations. In practice, this fits a seed or Series A company that wants to issue options soon after a round. In a demo, ask who signs the report, how the valuator handles a recent SAFE or convertible note, and what support is included if your auditor pushes back. Compared with Eqvista, Cake states a faster draft; compared with Mantle, it includes two valuations a year on its Team plan.

Mantle

Best for US and Canadian early-stage startups

Best for: Founders who want a low-cost cap table with an annual 409A included, especially companies with US and Canadian entities.

AttributeMantle
Published pricingGrowth 3,000 dollars/yr includes an annual 409A; additional 409As listed at 1,800 dollars in comparison table; Enterprise custom
Free plan or trialStarter plan free with no credit card required; 409A not included on Starter or Essentials
Stated turnaroundNo specific turnaround stated; Mantle describes audit-ready reports delivered in a timely manner
Audit and defense supportReports described as audit-ready; audit assistance not detailed on the pages we checked
Cap table bundlingCap table, securities issuance, board actions and ISO/NSO reporting; Enterprise adds QSBS (US) and CCPC (Canada)
Main limitationTurnaround and appraiser details are not published, so confirm timing before planning option grants
  • Free Starter plan lets you set up the cap table before paying for a valuation.
  • Enterprise tier covers both US QSBS attestation and Canadian CCPC support.
  • The 409A is included only from the Growth plan upward, and Mantle does not publish a turnaround time.

Our take: Mantle is a cap table platform that includes an annual 409A valuation in its Growth plan at 3,000 dollars per year, alongside VIP support and SOC 2 Type 2 report access. Its comparison table lists additional 409A valuations at 1,800 dollars, which you should confirm in writing. The free Starter and 1,200 dollar Essentials plans do not include a valuation. In practice, Mantle suits early startups that want one system for SAFEs, option grants and the annual 409A without a large platform fee, and its Enterprise tier mentions both US QSBS attestation and Canadian CCPC support. The pages we checked do not state a turnaround time or name who performs the valuation. In a demo, ask for typical delivery times after a priced round, who signs the report, and what support is included during your first audit. Compared with Carta, Mantle publishes prices; compared with Cake, it includes one valuation per year rather than two.

Carta

Best for VC-backed companies already on Carta

Best for: Venture-backed companies that already manage their cap table on Carta and want valuations inside the same system.

AttributeCarta
Published pricingQuote-based; each package priced per stakeholder with a minimum annual fee; 409A included in Grow and Scale
Free plan or trialLaunch plan free for up to 25 stakeholders and 1 million dollars raised, but it does not include 409A
Stated turnaroundNo specific turnaround published; Carta describes the service as fast
Audit and defense supportGrow includes 409A audit support; Carta says analysts provide guidance to help mitigate audit risk
Cap table bundlingValuations run inside Carta's cap table; you must be onboarded onto Carta to request one
Main limitationNot available as a standalone report, and paid plan prices require a sales conversation
  • Carta says it is trusted with over 120,000 valuations.
  • Cap table, financial imports from Xero and QuickBooks, and valuation data live in one system.
  • You cannot buy a Carta 409A without moving your cap table onto Carta.

Our take: Carta includes 409A valuations in its Grow and Scale plans, along with 409A audit support, and prices each package per stakeholder with a minimum annual fee set through sales. The free Launch plan and the Build plan do not include valuations. Carta's FAQ states you must be onboarded onto Carta to request a valuation, so this is an option for companies already on the platform or planning to move there. The process verifies the cap table, imports financials through Xero and QuickBooks integrations, includes an analyst call if needed, and passes an internal review before the final report. In practice, the advantage is fewer data handoffs, because the valuation draws on the same cap table your investors see. In a sales call, ask for the stakeholder-based price, how many valuations per year are included, typical turnaround after a priced round, and what audit support covers. Compared with Eqvista or Mantle, Carta costs more to reach; compared with independent firms, it bundles software and valuation.

Sharp 409A

Best for founders prioritizing speed and flat fees

Best for: Startups and private companies that want a standalone 409A report quickly without adopting a cap table platform.

AttributeSharp 409A
Published pricingDescribes a flat fee that does not depend on company stage; amount not shown on the pages we could load, so treat as quote-based
Free plan or trialNo free trial; standalone service
Stated turnaroundDraft report in 2 working days after documents are submitted, then a signed copy
Audit and defense supportStates reports meet IRC safe harbor standards, follow AICPA guidance and run 60+ pages
Cap table bundlingStandalone report; does not require moving your cap table
Main limitationWe could not verify the fee amount, and the firm operates from Bengaluru, India with a US phone line
  • States a two-working-day draft turnaround.
  • Says it has valued startups since 2014 and focuses on 409A work.
  • The fee is not published on the pages we could access, and audit defense terms are not described in detail.

Our take: Sharp 409A is a specialist firm that says it has valued startups since 2014 and focuses on 409A reports for startups and private companies. Its homepage describes a flat fee that does not change with company stage and a process in which you submit company details and documents, receive a draft in two working days, and then get a signed report. It says its reports meet IRC safe harbor standards, follow AICPA guidance and run more than 60 pages. The firm lists a US phone number and an office in Bengaluru, India, and combines automated systems with valuation specialists. In practice, it suits founders who want a standalone report quickly and do not want to adopt a new cap table tool. Before you engage, ask for the fee in writing, the credentials of the signing appraiser, and what happens if your auditor requests changes. Compared with Cake or Eqvista, it is not bundled with software; compared with Redwood, it states a much faster draft.

Redwood Valuation

Best for complex capital structures

Best for: Companies with multiple share classes or complex capital structures that want a dedicated valuation firm working with their auditor.

AttributeRedwood Valuation
Published pricingQuote-based; prices not listed on the 409A or early-stage pages
Free plan or trialNo free trial; quote request form
Stated turnaroundDraft typically in 3 to 4 weeks; expedited options about one week; later-stage companies may take longer
Audit and defense supportDescribes audit-ready valuations and offers to work directly with your auditor; no formal audit-defense product described
Cap table bundlingStandalone valuation; works alongside whichever cap table system you use
Main limitationLonger standard turnaround than software-led providers, and no published fee
  • Offers a range of defensible valuation outcomes and simulation software modeling thousands of common stock outcomes.
  • States its team will work with your auditor during the process.
  • A 3 to 4 week standard draft can delay option grants if you start late.

Our take: Redwood Valuation is a valuation-focused firm that says it has completed thousands of 409A valuations. Its early-stage page describes a range of defensible outcomes, industry data sets and simulation software that models thousands of possible common stock outcomes. Drafts typically take 3 to 4 weeks, with expedited options of about one week, and later-stage companies may take longer. The firm offers to work directly with your auditor, which helps when your capital structure includes several preferred classes, warrants or venture debt. Reports are valid for up to 12 months or until a significant event such as a new round. In practice, Redwood suits companies whose auditors expect detailed methodology support. Before you engage, ask for a fixed quote, the expedited fee, and how many revision rounds are included. Compared with Sharp 409A it takes longer by default; compared with Carta it is independent of your cap table software.

How to choose a 409A valuation provider

Understand what safe harbor means

Treasury regulations under Section 409A say certain valuation methods are presumed reasonable, and the IRS can rebut that presumption only by showing the method or its application was grossly unreasonable. One qualifying method is an independent appraisal dated no more than 12 months before the grant date. In practice, this is why most startups use an outside provider and refresh the valuation at least annually and after a priced round. Ask each provider how its process meets the independent appraisal standard. This is general information, not tax or legal advice; confirm specifics with your own counsel or tax advisor.

Plan around turnaround time

Option grants usually wait for a fresh valuation after a funding round, so turnaround affects hiring. Cake states a three-business-day draft, Sharp 409A two working days, Eqvista 5 to 10 working days with paid expedite, and Redwood 3 to 4 weeks with expedited options. Times usually start only once you have provided financial statements, the cap table, charter documents and round terms. Gather those first. Ask whether the stated turnaround covers the draft or the signed final report, and how long revisions take if your board or auditor has questions.

Decide whether to bundle with cap table software

Eqvista, Cake, Mantle and Carta bundle valuations with equity management, which reduces data entry because the valuation reads the cap table you already maintain. Carta requires you to be on its platform; Mantle includes a valuation only from its Growth plan. Standalone firms such as Sharp 409A and Redwood work with any system, which suits companies happy with their current cap table tool. Compare the total annual cost of software plus valuation, not just the valuation line, and check how easily you can export data if you switch later.

Ask about audit support

Your financial statement auditor will review the 409A when testing stock-based compensation expense under ASC 718. A provider that answers auditor questions quickly saves time during your first audit. Eqvista states lifetime audit support, Carta includes 409A audit support in Grow, and Redwood offers to work directly with your auditor. Others describe reports as audit-ready without detailing support. Ask how many revision rounds are included, whether auditor calls cost extra, and who on the provider's side handles questions from the IRS if one ever arises.

Match the provider to your capital structure

A pre-revenue company with one class of common stock and a few SAFEs is simpler to value than a Series B company with several preferred classes, warrants and venture debt. Software-led providers handle the first case efficiently at published prices. As complexity grows, tier-based prices rise and quote-based firms become more competitive. Tell each provider about convertible notes, secondary sales and recent offers before they quote, since those affect methodology and price. A low price on a complex structure may mean less analysis behind the number.

How 409A valuation pricing works

Software-led providers usually bundle the valuation with cap table software and publish prices by stage or plan. Eqvista lists its 409A and Premium Cap Table bundle at 990 dollars per year for pre-revenue companies, 1,990 dollars at seed and 2,590 dollars at Series A, with unlimited updates during the subscription. Cake Equity lists a 1,500 dollar 409A add-on for any plan and a 2,750 dollar annual Team plan that includes two valuations. Mantle's Growth plan at 3,000 dollars per year includes one annual valuation, with extra valuations listed at 1,800 dollars.

Platform and firm pricing is often quote-based. Carta includes valuations in its Grow and Scale plans and prices each package per stakeholder with a minimum annual fee, which you get through sales. Independent firms such as Redwood Valuation quote per engagement based on stage and complexity, and Sharp 409A describes a flat fee not tied to stage but did not show the amount on pages we could load. When comparing, ask for the full cost of a year that includes one scheduled valuation and one refresh after a funding round, plus any expedite fees.

Extras to check include expedited delivery, extra revision rounds, ASC 718 expense reports, QSBS attestation and auditor support. Eqvista lists expedite from 490 dollars and ASC 718 from 500 dollars. These add-ons can change which option is cheapest over a full year.

409A Valuation Providers: frequently asked questions

How often does a startup need a 409A valuation?

Most startups refresh their 409A at least every 12 months, because an independent appraisal must be dated no more than 12 months before a grant to fall within the safe harbor presumption. A new valuation is also typical after a material event, such as a priced funding round or a significant change in the business. This is general information, not tax or legal advice.

What is 409A safe harbor?

Treasury regulations list valuation methods that are presumed reasonable, including an independent appraisal dated within 12 months of the grant. If the presumption applies, the IRS can challenge the value only by showing the method or its application was grossly unreasonable. Providers describe reports as meeting safe harbor standards, but whether it applies depends on facts. This is not tax or legal advice.

How much does a 409A valuation cost in 2026?

Published prices we checked range from Eqvista's 990 dollar annual bundle for pre-revenue companies to Cake Equity's 1,500 dollar add-on and Mantle's 3,000 dollar Growth plan, which includes one valuation. Carta, Redwood Valuation and Sharp 409A did not show fixed prices on the pages we could load. Costs usually rise with stage and capital structure complexity.

Can I get a Carta 409A without using Carta for my cap table?

No. Carta's 409A page states you need to be onboarded onto Carta to request valuations, and valuations are included in its Grow and Scale plans. If you want to keep your current cap table tool, consider a standalone firm such as Redwood Valuation or Sharp 409A, or a provider that sells a 409A add-on.

What happened to Pulley 409A valuations?

Pulley's pricing page states that Pulley is shutting down on 12/8/26 and directs customers to its FAQ and support team. We left it out of this comparison for that reason. If you currently use Pulley, export your cap table and valuation reports and plan a move before that date.

What documents do I need for a 409A valuation?

Providers typically ask for recent financial statements, a current cap table, certificate of incorporation and charter documents, details of funding history including SAFEs and convertible notes, and financial projections. Eqvista notes faster delivery requires these upfront. Having them organized shortens turnaround and reduces revision rounds with the appraiser.
