How to play Clause Builder

Read the clause, then tap words in the bank to fill the blanks in order. Tap a filled blank to clear it. When both blanks are filled, press Check. The explanation says what the clause does.
A correct answer scores 10 XP and a perfect run adds 20 XP. A wrong answer costs one of your five hearts. The ten clauses are drawn from a set of fifteen. This game is a learning aid, not legal advice.

The building blocks of a contract

Most commercial contracts are built from the same set of clauses. The commercial terms change from deal to deal, but the boilerplate around them does the same jobs every time.
  • Risk clauses such as limitation of liability, indemnity and warranty decide who pays when something goes wrong, and how much.
  • Exit clauses such as termination for cause, termination for convenience and force majeure decide how and when either side can walk away.
  • Housekeeping clauses such as governing law, jurisdiction, notices, assignment, entire agreement and severability make the contract work as a document.

Why the exact words matter

A single word can move a lot of risk. Termination for convenience needs no reason, while termination for cause needs a breach. Assigned intellectual property belongs to the client; licensed property does not. Reading for these key words is the fastest way to understand a contract.
Contract law differs between countries, so take advice on real agreements. The law guides explain each clause in more depth. Play Red Flag Hunter next or browse Kurums Tools.
